Pentium D805 dual core 2.66ghzstock with stock intel cooler
Asus P5ND2-SLI
OCZ DDRII PC4200 VALUE PRO DUAL CHANNEL 1GB KIT
Gigabyte 256MB 6800GS PCI express card
120GB Western Digital SATA 8MB Hard Drive
80GB Seagate SATA 8MB Hard Drive
LG 16DVD BURNER and 1.44MB FLOPPY
PCI Modem (for backup dialup account when needed)
Gigabyte 54MBPS Wireless LAN CARD
All inside a Coolermaster RC532 Case with front and rear 120mm fan and 380W coolermaster PSU
and all being displayed on a Samsung 940N 19" LCD at 1280 x 720
ShaneHm2, Nvidia chipsets are not regarded highly in overclocking circles with Intel CPUs at the moment. However, that does not mean you can't get a decent overclock and stable.
I would consider thinking about the PSU, 380W is ok for stock running with your gear, but overclocking a dual core brings in other power demanding factors.
I pressume you can run your system at 1:1 and tighten up the ram timings ?
If you can, give that a go and see if it improves system responsiveness.

1:1 Ratio
cas latency :4
ras to case latency: 5
ras precharge: 5
cycle time (tras): 16
bank cycle time (trc): 19

also yes im upgrading all my psus soon but what one to go with for a rig like this ?

Can you try - 4-3-3-10-4 ? you will probably need to increase Vdimm a bit for that, so run some memory tests and see how it goes.

Depends what you can afford, psu's vary quite a lot in features and price.

well for my rig im looking at a maximum of $100 and then just gonna grab some 350w antecs for mrs and my folding machines

Even thought the nvidia chipsets arent great for overclocking the fact that at 4ghz you are on the stock fsb of the board means that it is highly unlikely that the board is limiting the overclock.
On the stock cooler i got mine to 3.5Ghz. It benefits greatly from a vdroop mod and a new cooler. That helped me to 4Ghz
